Terms of Service

The portal is private business software, not a public service. You may use it only if The Minery or your organization has given you an account, and only for the work that account is for. Accounts are personal — do not share your credentials, and tell us promptly at info@theminery.com if you believe an account has been compromised.

For as long as your account is active, we grant you a limited, non-exclusive, non-transferable right to use the portal for your organization's own internal business purposes. We keep all rights in the portal itself — its software, design and content. Nothing here transfers ownership of it to you.

You agree not to:

• use the portal to break the law or to infringe anyone's rights;
• upload malicious code, or content you have no right to share;
• try to reach data belonging to another organization, or to bypass any access control;
• probe, scan or load-test the service without our written permission;
• copy, resell, sublicense or white-label the portal to anyone else; or
• use automated means to extract data at a scale the portal is not designed for.

The information your organization puts into the portal — client records, assessment responses, documents, project material — remains yours. You give us permission to host, process and display it as needed to run the portal and to deliver the consulting work you have engaged us for. You are responsible for having the right to provide the information you upload, including where it concerns your employees.

Some features send content to automated systems to produce a result, such as a summary of assessment responses. The Privacy Policy explains how that works and how to ask us for details.

An administrator may connect the portal to QuickBooks Online so that invoice information can be displayed. The portal only reads from QuickBooks — it does not create, change or delete anything there. The connection can be revoked at any time from QuickBooks or by asking us. Your use of QuickBooks remains governed by your own agreement with Intuit, and we are not responsible for that service.

We aim to keep the portal available and to improve it over time, which means features may change, be added, or be withdrawn. We may need to interrupt the service for maintenance. We do not promise uninterrupted or error-free operation.

The portal is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Material in the portal, including automatically generated summaries, supports your decisions — it is not professional, legal or financial advice, and you remain responsible for the decisions you make.

To the fullest extent permitted by law, The Minery is not liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, arising from your use of the portal. Our total liability arising out of or relating to the portal will not exceed the amounts you paid us for the services in the twelve months before the claim arose.

You will defend and indemnify The Minery, and its officers, directors, employees and contractors, against third-party claims — including reasonable legal fees — to the extent those claims arise from content your organization puts into the portal, from use of the portal in breach of these terms, or from use of the portal in violation of the law. We will tell you promptly about any such claim and will reasonably cooperate with you in handling it.

We may suspend or close an account that breaches these terms, or when the underlying client relationship ends. You may stop using the portal at any time and ask us to close your account.

When a client relationship ends, your organization has 90 days to retrieve its content — ask us and we will provide it in a reasonable format. After that window we delete your organization's information from our active systems, keeping only what the law requires, as the Privacy Policy describes.

Sections that by their nature should survive — your content ownership, disclaimers, limitation of liability, indemnification and governing law — continue to apply afterwards.

If we change these terms we will update this page and the date at the top. Continuing to use the portal after a change means the updated terms apply.

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction over any dispute arising from them.
